TikTok's Chinese owner, ByteDance, has finalized a deal to establish a majority American-owned joint venture, TikTok USDS Joint Venture LLC, to secure U.S. data and avoid a potential ban. The joint venture will hold 80.1% of the venture, with American and global investors, while ByteDance retains 19.9% ownership. The three managing investors, Oracle, Silver Lake, and MGX, will each hold 15%. This agreement comes after President Donald Trump's unsuccessful attempt to ban TikTok in 2020, citing national security concerns. The White House has approved the deal, and the Chinese Embassy in Washington has not yet commented. The venture will secure U.S. user data, apps, and algorithms through data privacy and cybersecurity measures. TikTok's CEO, Shou Chew, will lead the global business and strategy, and the venture will retrain, test, and update TikTok's content recommendation algorithm on U.S. user data, secured in Oracle's U.S. cloud. This development follows reports that ByteDance would maintain ownership of TikTok's U.S. business operations while ceding control of data, content, and algorithm to the venture. The new venture will handle U.S. user data and the algorithm, with a separate division owned by ByteDance controlling revenue-generating business operations. The deal's details align with those outlined in September, when Trump delayed the ban until January 23, 2024, and the White House confirmed the venture would operate TikTok's U.S. app. This move has sparked discussions about the balance between national security and data privacy, with the potential for differing opinions on the deal's implications.
